Inmarsat plc new convertible bond offering of up to $600 million due 2023 and repurchase of outstanding $287.7 million convertible bonds due 2017
New convertible bond offering
London, UK: 31 August 2016. Inmarsat plc (LSE: ISAT.L, "Inmarsat" or the "Company") today announces the launch of an offering of c. $550 million convertible bonds due 2023 (the "New Bonds") with an increase option of up to $50 million.
The net proceeds of the issue of the New Bonds will be used primarily to fund the repurchase ("Concurrent Repurchase") of outstanding 1.75% $287.7 million convertible bonds due 2017 (the "Outstanding Bonds") which may be offered by eligible holders of the Outstanding Bonds during a reverse bookbuilding process described below. The remaining proceeds will further strengthen Inmarsat's financial position and support its strategy of continued investment in innovation and the delivery of global mobile satellite service solutions, where Inmarsat continues to see opportunities for sustained profitable growth. The New Bonds will be issued as part of the Inmarsat Group's ongoing plans to optimise financing costs and the Group's debt maturity profile. The Group currently intends to launch a further benchmark offering in the debt capital markets this year, subject to market conditions.
The Company reserves the right not to proceed with the issue of the New Bonds and with the Concurrent Repurchase if the Company has not received, at the closing of the reverse bookbuilding, offers from eligible holders of Outstanding Bonds to sell the Outstanding Bonds at the Repurchase Price representing 50% or more in outstanding nominal amount of the Outstanding Bonds.
The New Bonds will be convertible into fully paid new and/or existing ordinary shares of Inmarsat ("Ordinary Shares") on a net share settlement basis described below. The New Bonds are expected to have a coupon in the range of 3.625-4.125% per annum payable semi-annually in arrears in equal instalments and an expected initial conversion price at a premium of 30-35% to the volume weighted average price of an Ordinary Share on the London Stock Exchange between launch and closing of the market on 31 August 2016, converted at the prevailing USD:GBP spot rate. The New Bonds will be issued at 100% of their principal amount and, unless previously redeemed, converted or purchased and cancelled, will be redeemed at par on the seventh anniversary of the issue of the New Bonds in 2023. The Company will have the option to call the New Bonds on or after the date falling five years and 21 days after the Closing Date (as defined below), should the parity value of a New Bond (determined by reference to the prevailing conversion ratio and the USD-equivalent volume weighted average price of an Ordinary Share) be at least 140% of the principal amount of a New Bond for at least 20 out of 30 consecutive dealing days. Conversions will be net share settled to minimise dilution. This means that, upon exercise of conversion rights, the value of the Ordinary Shares underlying a New Bond will be delivered by (i) a payment in cash up to the principal amount of a New Bond, and (ii) the delivery of Ordinary Shares representing any excess conversion value over par, subject to a cap of 22,555,650 shares (representing 5% of the Company's issued share capital immediately prior to the offering). The final terms of the New Bonds are expected to be announced today.
Settlement and delivery of the New Bonds is expected to take place on 9 September 2016 (the "Closing Date").
It is intended that application will be made for the New Bonds to be listed on the Channel Islands Securities Exchange or another recognised stock exchange and the Open Market of the Frankfurt Stock Exchange prior to the first interest payment date.

Repurchase of outstanding convertible bonds due 2017
Inmarsat also announces today that the Joint Bookrunners are assisting the Company in carrying out a reverse bookbuilding process to collect indications of interest from eligible holders of the Outstanding Bonds, of which $287.7 million principal amount is currently outstanding.
The Concurrent Repurchase is not open to any persons located or resident in the United States or that are otherwise U.S. Persons (within the meaning of Regulation S under the US Securities Act of 1933, as amended (the "Securities Act")), or persons acting for the account or benefit of any such persons, or in any other jurisdiction where the Concurrent Repurchase or any participation therein would be unlawful.
The Company may decide to repurchase the Outstanding Bonds tendered subject to the condition precedent of the settlement of the New Bonds.
Holders whose Outstanding Bonds are repurchased by the Company will be eligible to receive a cash consideration of $136,000 per Outstanding Bond. In addition, the Company will pay interest accrued but unpaid on the Outstanding Bonds from and including the immediately preceding interest payment date to but excluding the Settlement Date of the Concurrent Repurchase.
Any Outstanding Bonds so repurchased (if any) will be cancelled by the Company. Pursuant to
Condition 6(6) of the Outstanding Bonds, if at any time there shall have been exercised Conversion Rights on the Outstanding Bonds and/or Outstanding Bonds purchased (and corresponding cancellations) and/or redeemed in respect of 85% or more in principal amount of the Outstanding Bonds originally issued, the Company may redeem such outstanding bonds in whole but not in part at their accreted principal amount (in accordance with the Conditions), together with accrued and unpaid interest to such date.
Settlement of the Concurrent Repurchase is expected to take place on 12 September 2016.
