Re: Changes to the Board of the Manager


The Directors of PineBridge Investments Ireland Limited, the Manager of the Fund (the "Manager") wish to announce the following changes to the Board of the Manager:


Resignation of Directors


With effect from 22 August 2016, David Cooke and John Fitzpatrick resigned as Directors of the Manager.


With effect from 26 August 2016, Anders Faergemann resigned as a Director of the Manager.


Appointment of Directors


With effect from 26 August 2016, Anthony King and Julian Sluyters were appointed as Directors of the Manager.


With effect from 31 August 2016, Eimear Cowhey, Linda O'Leary and Adrian Waters were appointed as Directors of the Manager.


Mr. King joined PineBridge Investments in 2000 and is currently Regional CEO for EMEA. Additionally he is a Director of PineBridge Investments Europe Limited, and PineBridge East Africa Limited. During his tenure at the firm, Mr. King was previously responsible for interest rate, currency and credit risk on both multi-currency and single currency bond portfolios. Mr. King has also been in charge of initiating both Euro and Global Aggregate Bond products, both of which combine interest rate, currency and credit risk within a portfolio to provide a broad selection of alpha opportunities. Mr. King's financial industry experience began in 1989 at J.P. Morgan Investment Management, where he was responsible for managing both single and multi-currency bond portfolios on behalf of pension funds and private clients. In his 11-year tenure with J.P. Morgan, Mr. King undertook positions in capital markets research, fixed income trading and portfolio management where he focused on risk management techniques, the use of derivatives and macro-economic analysis.

Mr. King received a BSc (Honors) in Geography and Statistics from the University of Southampton. He holds the Investment Management Certificate (IMC). Mr. King is also registered as a holder of the Commodity Futures Trading Commission (CFTC) Series 3 qualification.

Mr. Sluyters is Chief Operating Officer and responsible for the day-to-day management of the global support functions at PineBridge Investments. Prior to joining the firm, he was a Managing Director and Chief Operating Officer for Allianz Global Investors US. He also served as a member of the US Executive Committee and the President and Director of the Allianz Global Investors Group of mutual funds.  Mr. Sluyters has over 30 years of experience and has held senior positions at Old Mutual Capital, DWS Family of Funds at Deutsche Asset Management, UBS Fund Services (Zurich, Switzerland), UBS Asset Management and Ernst & Young.  His experience also includes Board and management roles in Ireland, Luxembourg, Switzerland, Japan, and the Cayman Islands. Mr. Sluyters holds a BS in finance and accounting from Lehigh University.


Mr. Adrian Waters (Irish), resident in Ireland, is a Fellow of The Institute of Chartered Accountants in Ireland and of The Institute of Directors. He is a Chartered Director (UK Institute of Directors) and he specializes in risk management and governance. He has over 25 years' experience in the funds industry. From 1993 to 2001, he held various executive positions within The BISYS Group, Inc. (now part of the Citi Group), including Chief Executive Officer of BISYS Fund Services (Ireland) Limited and finally as Senior Vice President - Europe for BISYS Investment Services out of London. From 1989 to 1993, he was employed by the Investment Services Group of PricewaterhouseCoopers in New York and prior to that by Oliver Freaney and Company, Chartered Accountants, in Dublin. Mr. Waters holds a Bachelor of Commerce degree and a Post Graduate Diploma in Corporate Governance both received from University College Dublin in 1985 and 2005, respectively. Additionally, in 2013, he has received a Master of Science degree in Risk Management from the Stern Business School at New York University.


Eimear Cowhey (Irish Resident) has over 25 years' experience in the offshore funds industry and currently acts as a non-executive independent chairman, director and committee member of various investment fund and management boards in Dublin and Luxembourg. From 1999 to 2006 she held various executive positions within The Pioneer Group, including Head of Legal and Compliance and Head of Product Development. From 1992 to 1999 she held various executive positions within Invesco Asset Management, including Managing Director, Global Fund Director and Head Legal Counsel. Eimear is a qualified Irish lawyer with a Diploma in Accounting and Finance, Diploma in Company Direction (IoD), Certificate in Financial Services Law and is in the course of achieving Chartered Director status from the IoD (London).


Eimear was a member of the Committee on Collective Investment Governance (CCIG) which was established by the Central Bank of Ireland in December 2013 and which issued an expert report in July 2014 on recommendations for good governance practice for investment funds.


She is a former Council member and past Chairman of Irish Funds (formerly IFIA) and is a former member of the IFSC Funds Group a joint government/industry group to advise the government of investment fund related matters. Ms Cowhey lectures at the Law Society of Ireland on Financial Services and Investment Funds law and is a regular conference speaker.


Mrs. O'LEARY joined PineBridge Investments in 2004. She is European Funds Business Manager, focusing primarily on providing cross-functional coordination, oversight and ownership of the PineBridge Global Funds platform, including 25 Irish domiciled UCITS with global registrations as well as oversight and ownership of the Luxembourg SICAV/AIF platform.  Prior to assuming this role in 2016, Mrs. O'Leary was Vice President of Finance and IT Project Management, head of the firm's centralised shared services team supporting all PineBridge regions and products.  Before joining the firm, she was an auditor at KPMG Chartered Accountants. She holds a BSc, Management from Trinity College & Dublin Institute of Technology in Dublin and is a Fellow Member of Chartered Accountants Ireland.

The newly appointed Directors have never:

(i) had any unspent convictions in relation to indictable offences; or

(ii) been a director of any company or partnership which, while he was a director with an executive function or partner at the time of or within the 12 months preceding such events, been declared bankrupt, went into receivership, liquidation, administration or voluntary arrangements; or

(iii) been subject to any official public incrimination and/or sanctions by statutory or regulatory authorities (including designated professional bodies); or been disqualified by a court from acting as a director of a company or from acting in the management or conduct of affairs of any company

The newly appointed Directors accept responsibility for the information contained in the most recently approved Listing Particulars of the Company.
