IRISH STOCK EXCHANGE ANNOUNCEMENT

3.50% May 2014 Exchangeable Senior Notes due 2032 (ISIN: US220480AB34) (the "Notes")
Reference is made to the Indenture, dated as of May 20, 2014 (the "Indenture"), between the Issuer, Amarin Corporation plc ("Amarin") and Wilmington Trust, National Association, as trustee (the "Trustee"). Capitalized terms used and not otherwise defined herein shall have the meanings ascribed to them in the Indenture.
1. The Issuer has exercised its option to mandatorily exchange all $118,734,000 million in aggregate principal amount of its Notes into American Depositary Shares ("ADSs") of Amarin, with each ADS representing one ordinary share of Amarin. As a result, Amarin will issue 384.6154 ADSs per $1,000 principal amount of Notes, subject to certain adjustments as provided in the Indenture governing the Notes.
The mandatory exchange of the Notes will be effective on 12 September 2016. As a condition to the mandatory exchange under the Indenture, the daily volume weighted average pricing per ADS equaled or exceeded $2.86 for at least 20 trading days in the 30-trading-day period commencing on 18 July 2016 and ending on (and including) 26 August 2016. The date of notice of the exercise of Issuer's mandatory exchange option under the Indenture is 26 August 2016, and the "Optional Exchange Trigger Period" under the Indenture began on 18 July 2016 and ended on (and included) 26 August 2016. The aggregate principal amount of Notes subject to the Issuer's mandatory exchange option is $118,734,000.
2. The Issuer also wishes to announce that it has applied to the Irish Stock Exchange to delist the Notes from the Official List and from trading on the Global Exchange Market of the Exchange. The Irish Stock Exchange has agreed that the Notes be delisted with effect from 16 September 2016.
