Notice is given by the Issuer to the holders of the Series 3 Covered Bonds, the Series 4 Covered Bonds, the Series 7 Covered Bonds, the Series 8 Covered Bonds and the Series 9 Covered Bonds that the Issuer on 30 August 2016 (the Effective Date) made certain amendments to the following documents:
(i) entered into an Amended and Restated Stand-by Transaction Account Agreement, to reflect that certain cash collateral accounts have been opened with the Stand-by Transaction Account Bank and that other accounts may be opened with them from time to time; and
(ii) entered into an Amended and Restated Cash Management Agreement, to provide for the opening of collateral accounts with the Stand-by Transaction Account Bank and The Bank of New York Mellon, acting through its London Branch (BNYM).
The Issuer on the Effective Date also entered into new custodian arrangements with BNYM pursuant custody agreement (the Custody Agreement). BNYM has agreed to act as provider of a securities collateral account(s) and a cash collateral account(s) (the Custody Accounts) to the LLP, and pursuant to this, the Custody Agreement sets out the rights, liabilities and obligations of parties in relation to the Custody Accounts.
