Introduction

On 12 September 2016, HarbourVest announced a full and final cash Offer by HarbourVest Bidco for the entire issued and to be issued ordinary share capital of SVG Capital.

Lapse of Offer

As announced earlier today, HarbourVest and SVG Capital have signed an agreement with SVG Capital to acquire 100% of SVG Capital's investment portfolio (as at 31 July 2016) for an aggregate purchase price of £806.6 million1, which, among other things, is conditional on the Offer lapsing.

As also announced earlier today, HarbourVest will not extend the Offer. Accordingly, HarbourVest announces that the Offer has now lapsed and is no longer capable of acceptance.

Level of Acceptances

HarbourVest announces that as at 1.00 p.m. (London time) on 18 October 2016, HarbourVest Bidco had received valid acceptances in respect of 43,265,969 SVG Capital Shares, representing 27.7% of the existing ordinary share capital of SVG Capital, 26.6% of which were subject to an irrevocable undertaking and intention statement.

In addition to these acceptances, HarbourVest Bidco holds 13,305,961 SVG Capital Shares, representing 8.5% of the existing ordinary share capital of SVG Capital.

Accordingly, as at 1.00 p.m. (London time) on 18 October 2016, HarbourVest Bidco owned or had received valid acceptances of the Offer in respect of 56,571,930 SVG Capital Shares, which represent 36.2% of the existing ordinary share capital of SVG Capital, which HarbourVest Bidco may count towards the satisfaction of the acceptance condition of the Offer.

The percentages of SVG Capital Shares referred to in this announcement are based on a figure of 156,109,970 SVG Capital Shares in issue on 12 September 2016.

In respect of Shares held in certificated form, the Form of Acceptance and any share certificate(s) and/or other document(s) of title will be returned by post (or by such other method as may be approved by the Panel) within 14 days of the Offer lapsing, at the risk of the person entitled thereto, to the person or agent whose name and address outside the Restricted Jurisdictions is set out in the relevant box on the Form of Acceptance or, if none is set out, to the first-named or sole holder of his registered address outside the Restricted Jurisdictions. No such documents will be sent to an address in any Restricted Jurisdiction.

In respect of Shares held in uncertificated form, the Receiving Agent will, immediately (or within such longer period as the Panel may permit, not exceeding 14 days after the lapsing of the Offer), give instructions to Euroclear to transfer all Shares held in escrow balances and in relation to which it is the Escrow Agent for the purposes of the Offer to the original available balances of the Shareholders concerned.

HarbourVest will, except with the consent of the UK Panel on Takeovers and Mergers (the "Panel"), be bound by the restrictions contained in Rule 35 of the City Code on Takeovers and Mergers (the "City Code") until 17 October 2017.
