Offer Update

 

On 6 June 2017, CTI Engineering Co. Limited ("CTI") announced that in light of the valid acceptances and other interests in Waterman Shares owned by CTI as at 5 June 2017, surpassing 50.1 per cent of the voting rights normally exercised at a general meeting of Waterman, the Condition had been satisfied and the Mandatory Offer had become unconditional in all respects.

Further, on 14 June 2017 CTI announced that, as at 13 June 2017, it had received valid acceptances in respect of Waterman Shares which, together with the Waterman Shares owned, or agreed to be acquired, before or during the Offer by CTI, represent greater than 75.00 per cent. of the voting rights attaching to the Waterman Shares. Waterman has made an application for cancellation, respectively, of the trading in Waterman Shares on the London Stock Exchange's Main Market for listed securities and of the listing of Waterman Shares on the premium listing segment of the Official List. It is expected that such cancellation will be effective from 8am on 13 July 2017.

Delisting would significantly reduce the liquidity and marketability of any Waterman Shares not assented to the Offer.

If CTI receives acceptances of the Offer in respect of, and/or otherwise acquires not less than 90.00 per cent. of the Waterman Shares to which the Offer relates by nominal value and voting rights attaching to such shares, CTI intends to exercise its rights pursuant to sections 974 to 991 of the Companies Act 2006 to acquire compulsorily, on the same terms as the Offer, the remaining Waterman Shares in respect of which the Offer has not at such time been accepted.

 

Level of acceptances and interest in Waterman Shares

As at the close of business on 21 June 2017 (being the last practicable date prior to the publication of this announcement), CTI had received valid acceptances of the Mandatory Offer in respect of 18,580,724 Waterman Shares, representing approximately 55.79 per cent. of the current issued share capital of Waterman.

In addition, as at 21 June 2017 (being the last practicable date prior to the publication of this announcement), CTI had acquired 12,066,439 Waterman Shares, representing 36.24 per cent. of the current issued share capital of Waterman.

Accordingly, as at 21 June 2017 (being the last practicable date prior to the publication of this announcement), CTI either owned or had received valid acceptances of the Mandatory Offer in respect of a total of 30,647,163 Waterman Shares, representing approximately 92.03 per cent. of the current issued share capital of Waterman.

The percentages of Waterman Shares referred to in this announcement are based upon a figure of 33,298,824 Waterman Shares in issue on 21 June 2017.

The Company now announces that the Offer will remain open for acceptance until at least 1.00pm on 6 July 2017.

 

Accepting the Mandatory Offer

Waterman Shareholders who have not yet accepted the Mandatory Offer and who wish to do so are urged to do so as soon as possible in accordance with the following procedures:

To accept the Mandatory Offer in respect of Waterman Shares held in Certificated Form (that is, not in CREST), Waterman Shareholders should complete, sign and return the Form of Acceptance (together with share certificate(s) and/or other document(s) of title) so as to be received by the Receiving Agent as soon as possible.

To accept the Mandatory Offer in respect of Waterman Shares held in Uncertificated Form (that is, in CREST), Waterman Shareholders should follow the procedure so that the TTE instruction settles as soon as possible.  If you are a CREST sponsored member, you should refer to your CREST Sponsor as only your CREST Sponsor will be able to send the necessary TTE Instruction to Euroclear.

Full details of the procedure for accepting the Mandatory Offer are set out on pages 23 to 27 of the Offer Document (CTI posted its Offer Document to Waterman Shareholders on 18 May 2017)  and, in respect of Waterman Shares held in Certificated Form (that is, not in CREST), in the Form of Acceptance.
