A 'Vote withheld' is not treated as a vote in law and would not be counted in the calculation of the proportion of the votes cast 'For' or 'Against' a resolution.

The current issued share capital of the Company consists of 1,438,761,953 ordinary shares of 10 pence, carrying one vote each.
