Annual General Meeting - virtual only
The 2021 Annual General Meeting ("AGM") of the Company was scheduled to be held at at the offices of Jupiter Asset Management Limited ('Jupiter'), The Zig Zag Building, 70 Victoria Street, London SW1E 6SQ on Friday, 5 March 2021 at 11:00 a.m.
The Company advised in its Notice of AGM dated 28 January 2021 that in consideration of the wellbeing of the Company's shareholders and in light of UK Government guidance around social distancing, shareholders would not be permitted to attend this year's AGM in person. In order to comply with relevant statutory requirements, the Board of Directors advised that the AGM would be convened with the minimum necessary quorum to deal with the formal business of the meeting. Shareholders will be aware that the United Kingdom remains subject to lockdown restrictions, as a result, the AGM cannot be held at the offices of Jupiter. In accordance with Section 3 of Schedule 14 of the Corporate Insolvency and Governance Act 2020 ("CIGA 2020"), the meeting will now be held by virtual means only. The Board has arranged for the required minimum quorum to conduct the formal business of the meeting by video conference. Shareholders should note that the AGM will continue to be held as a closed meeting.
Shareholders are encouraged to exercise their right to vote by lodging a Form of Proxy in advance of the AGM with the Company's Registrar, Link Asset Services.
