Sale of Treasury Shares, PDMR Dealing and Total Voting Rights
The Company announces that one of its current investors has increased its position yesterday by 65,000 ordinary shares. The Company sold 45,000 ordinary shares of 1 penny each ("Ordinary Shares") from treasury ("Treasury Shares") at an average price of 651.67p. In addition, the Company announces that Frances DeSouza, part of the immediate family of Dr Patrick DeSouza, exercised options over 20,000 Ordinary Shares at an exercise price of $1.14 ("Option Shares") and subsequently sold the Option Shares to the same investor at a price of 665 pence. Dr. DeSouza's beneficial holding despite this option exercise and Ordinary Share sale remains unchanged. The following notification, made in accordance with the requirements of the EU Market Abuse Regulation, gives further detail on the option exercise and Ordinary Share sale.
Total Voting Rights and Admission to AIM
Application has been made for the Option Shares to be admitted to trading on the AIM market of London Stock Exchange plc, ("Admission"). Admission is expected to occur on or around 8.00 a.m. on 12 March 2021.
Upon Admission, the issued share capital of the Company is 17,706,284 shares, divided into 15,506,284 ordinary shares of 1 penny each which are admitted to trading on AIM and which entitle the holder to one vote per ordinary share; 2,200,000 B Ordinary Shares of 1 penny each which are not admitted to trading on AIM, but do still entitle to holder to one vote per ordinary share, but no economic rights; and 20,538 Ordinary Shares held by the Company in Treasury. Accordingly, the Company's total voting rights are 17,706,284 shares. This total voting rights number may be used by shareholders at Admission as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
