TRITAX BIG BOX REIT PLC

(the "Company")

ISSUE OF ORDINARY SHARES AND PDMR SHAREHOLDINGS

The Board of the Company announces that in accordance with:

a)   the terms of the Investment Management Agreement between the Company and Tritax Management LLP (the Manager) dated 11 September 2017 pursuant to which 25 per cent. of the management fee (net of any applicable tax) is payable in new ordinary shares of the Company ("Ordinary Shares") the Company will issue 708,380 Ordinary Shares to the partners and certain staff of the Manager, including the persons discharging managerial responsibilities ("PDMRs") referred to below; and

b)   the terms of the Bonus Agreement between the Company and Tritax Symmetry Management Limited ("Tritax Symmetry") dated 27 January 2021, pursuant to which 20 per cent. of the deal bonus fee (net of any applicable taxes) is payable in Ordinary Shares, the Company will issue 33,504 Ordinary Shares to certain staff of Tritax Symmetry,

in each case at a price of 169.92p per Ordinary Share, being the most recently published basic net asset value per Ordinary Share as at 31 December 2020.

Following Board approval on 9 March 2021, an application has been made for the Ordinary Shares to be admitted to the premium segment of the Official List and to trading on the main market of the London Stock Exchange. It is expected that dealings in the Ordinary Shares will commence at 8am on 15 March 2021 ("Admission").

Immediately following Admission, the Company's issued share capital will consist of 1,719,883,762 Ordinary Shares carrying one vote each. The Company does not hold any shares in treasury. Therefore, following Admission, the total number of voting rights in the Company will be 1,719,883,762. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

PDMR Shareholdings

In accordance with article 19.3 of the Market Abuse Regulation, immediately following Admission, the beneficial interests of certain persons discharging managerial decisions ("PDMRs") (and/or persons closely associated thereof) will be as follows:

^{2 158,937 shares have been acquired by Lynne Godfrey (PCA of Colin Godfrey).}

^{3 29,468 shares have been acquired by Amelia Dunlop and 29,469 shares have been acquired by Tom Dunlop (PCAs of James Dunlop).}

^{4 50,000 shares have been acquired by Alfred Jackson Franklin and 64,619 shares have been acquired by Daisy Franklin (PCAs of Henry Franklin).}

^{5 25,714 shares have been acquired by Lianne Hobart (PCA of Bjorn Hobart).}

^{6 10,784 shares have been acquired by Martine Whitehead (PCA of Frankie Whitehead). Frankie Whitehead became a PDMR of the Company on 7 December 2020.}

^{*The figure above includes an adjustment following shares acquired through an automated dividend reinvestment plan set up by Bjorn Hobart and a move of shares into a personal ISA account. The FCA has been notified of the adjustment.}
