Notice of 2021 Annual General Meeting

Further to the publication on 22 March 2021 of the Direct Line Insurance Group plc (the "Company") 2020 Annual Report & Accounts, the Company announces that it has, today, made the following documents available to shareholders:

·      2021 Notice of Annual General Meeting ("Notice of AGM")

·      2021 Annual General Meeting Form of Proxy ("Form of Proxy")

The 2020 Annual Report & Accounts, Notice of AGM and Form of Proxy are being sent to shareholders today. In compliance with Listing Rule 9.6.1, these documents will shortly be available for inspection on the National Storage Mechanism at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism

The AGM will be held at, and broadcast from, the offices of the Company, at Churchill Court, Westmoreland Road, Bromley, BR1 1DP, on 13 May 2021 at 11.00 a.m., with facilities to attend electronically.

Further to the stay at home measures that affected the 2020 AGM, our current expectation is that restrictions on public gatherings will remain in place on the date of the 2021 AGM and the Board has, therefore, taken the decision to ask shareholders not to attend the meeting's physical venue this year.

Instead, recognising the importance of the AGM as an opportunity to engage with our shareholders, the Company will be enabling all shareholders to attend and participate in the meeting electronically, should they wish to do so. Information on how on how shareholders can access the meeting is contained in the Notice of AGM.

We are continuing to monitor the impact that the Covid-19 pandemic is having on public gatherings and the guidance and directions provided by HM Government and public health advisers. The Board's priority is to safeguard the wellbeing of our colleagues, shareholders and wider communities and we will take all necessary and appropriate precautions to ensure their safety.
