Result of 2021 Annual General Meeting

The 2021 Annual General Meeting ("AGM") of Staffline, the recruitment and training group, was held today, Wednesday 28 July 2021. All of the resolutions proposed at the AGM were duly passed, with the exception of Resolution 13, which failed to carry, all other resolutions were passed by shareholders. The Company notes there was a sizable vote against Resolutions 12 & 13, representing 37.68% of votes cast on each resolution. Feedback received from certain shareholders indicated that some were concerned by the potential dilution caused by an allotment of shares, particularly on a non pre-emptive basis. The Board notes that it followed the Pre-emption Group Principles that the routine authority to disapply pre-emption rights should not exceed more than 5% of the ordinary share capital in any one year.
