Scrip Dividend Option

As previously announced on 25 November 2021, the NewRiver Board has declared an interim dividend of 4.1 pence per share in respect of the six months ended 30 September 2021. This dividend will be paid as a Property Income Distribution (PID).

As previously advised the dividend payment date will be 14 January 2022 and the dividend will be paid to shareholders on the register at close of business on 10 December 2021. The ex-dividend date will be 9 December 2021.

Shareholders can receive additional new ordinary shares in the Company instead of their cash dividend, with no dealing charges or stamp duty incurred, under the Company's scrip dividend scheme. To receive the scrip dividend, shareholders need to make an election ahead of the dividend election date on 24 December 2021.

We intend to announce details of the price at which the new ordinary shares will be issued via RNS on 16 December 2021 ahead of the dividend election date. Certificates in respect of the new ordinary shares will be despatched on the dividend payment date.

Scrip Dividend Scheme

At the Annual General Meeting held on 14 August 2020, shareholders approved the renewal of the scrip dividend scheme. Shareholders can receive additional shares in the Company instead of their cash dividend, with no dealing charges or stamp duty incurred.

To elect to receive additional new ordinary shares of 1 penny each in the capital of the Company instead of a cash dividend, shareholders need to log onto www.signalshares.com and follow the instructions. For certificated shareholders, the election will apply to all future relevant dividends unless cancelled. For shareholders who hold their shares in CREST, an election will be required for each relevant dividend.

Shareholders should read the scrip dividend scheme booklet, which contains the terms and conditions applicable to the scrip dividend scheme, before deciding to make an election. A copy of the scrip dividend scheme booklet can be found on the "Scrip Dividend Scheme" web page within the "Investor Centre" section of the Company's website www.nrr.co.uk
