Burberry Group plc - Voting Rights and Capital
In accordance with the FCA's Disclosure Guidance and Transparency Rule 5.6.1, Burberry Group plc (the "Company") hereby notifies the market that the Company's issued share capital as at 28 February 2022 consisted of 405,105,175 ordinary shares of 0.05 pence per share ("ordinary shares"), each with one vote, including 6,339,719 ordinary shares held in Treasury. Ordinary shares held in Treasury do not carry any voting rights.
Therefore, the total number of voting rights in the Company is 398,765,456 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
The total number of voting rights confirmed in this announcement reflects the shares purchased on 28 February 2022 under the share buyback programme which have yet to settle.
