Notice of Annual General Meeting

Further to the publication on 14 April 2022 of the TBC Bank Group PLC ("TBC PLC")  Annual Report for the financial year ended 31 December 2021, TBC PLC announces that it has, today, posted or made available to shareholders the notice of Annual General Meeting and related form of proxy (together, the "Notice of AGM").

The Notice of AGM has been submitted to the National Storage Mechanism and will shortly be available for inspection at the National Storage Mechanism located at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism. The Notice of AGM is also available on TBC PLC's website at www.tbcbankgroup.com.

The Annual General Meeting will be held at 11.00 am (BST) on Thursday, 16 June 2022 at the offices of Baker McKenzie, 100 New Bridge Street, London EC4V 6JA (the "AGM").

The Notice of AGM includes a resolution to approve a final dividend of GEL 2.16 per TBC PLC share (the "Final Dividend"). If approved, the Final Dividend will be paid on 15 July 2022 (in GBP at the official exchange rate of the National Bank of Georgia for 24 June 2022) to shareholders who are on the register of members at 6:00 pm (BST) on the record date of 17 June 2022. The ex-dividend date for the Final Dividend will be 16 June 2022. 

The Final Dividend, together with the interim dividend of GEL 1.5 per TBC PLC share paid on 17 September 2021, will equate to a total dividend in respect of the year ended 31 December 2021 of GEL 3.66 per share. The total dividend pay-out ratio for the year ended 31 December 2021 will be 25%.

In addition, TBC is pleased to resume its scrip dividend scheme and subject to shareholder approval, give opportunity to its shareholders the right to receive new ordinary shares in the capital of TBC PLC (credited as fully paid) instead of a cash dividend. The scrip dividend scheme will commence with the proposed Final Dividend and the scheme terms and conditions are included in the Notice of AGM and will also be made available electronically on TBC PLC's website at www.tbcbankgroup.com.
