This announcement is made by the Issuer pursuant to Regulation (EU) No. 596/2014 (the "Market Abuse Regulation") and Regulation (EU) 2016/1055 (the "Implementing Technical Standards") relating thereto.

 

Capitalised terms used but not defined herein have the meaning given to them in the terms and conditions of the Series 2021-F1 EUR Notes as set out in the Supplemental Trust Deed dated 22 April 2021 relating to the Series 2021-F1 EUR Notes.

 

The Issuer announces that the Redemption Amount of the Series 2021-F1 EUR Notes and the accrued interest due 21 April 2024 has not been made to holders of the Series 2021-F1 EUR Notes. This is in addition to the non-payment of interest due on 21 July 2023, 21 October 2023 and 21 January 2024.

 

The assets and security backing the Series 2021-F1 EUR Notes are described in the Investment Memorandum dated 6 April 2021 and principally consist of a secured loan to SMARTKAS Project Finance B.V. (the "Borrower") dated 16 April 2021 (the "Facility Agreement").

 

As a result of the non-payment of such amounts by the Borrower to the Issuer, the Issuer has insufficient funds to pay the Redemption Amount and the accrued interest on the Series 2021-F1 EUR Notes. The Issuer has declared an event of default and has reserved its rights under the Facility Agreement. The obligations of the Borrower to make such payments to the Issuer continues.

 

The Issuer understands that the Trustee is in communication with the Borrower about the next steps.
