Management Fee Arrangements
The Board of The Scottish Oriental Smaller Companies Trust plc (the "Company") notes the proposals it set out in the Company's half yearly report and accounts to 28 February 2023 (the "Interim Report") in relation to the mechanism for calculating the Company's Alternative Investment Fund Manager's (the AIFM"), First Sentier Investors (UK) Funds Limited, performance fee and confirms that it has reached agreement with the AIFM to change the index against which its performance fee is based from the MSCI AC Asia (ex-Japan) Index to the MSCI AC Asia ex Japan Small Cap Index (the "New Index").
This change will bring the basis on which the AIFM's performance fee is measured into line with the basis on which both the performance of the Company and the trigger for the Company's recently introduced performance-related, conditional tender offer are measured.
The AIFM is a related party and this change constitutes a smaller related party transaction under Listing Rule 11.1.10R. No other changes are being made to the management arrangements at this time.
