RESULTS OF COURT MEETING AND GENERAL MEETING

 

WS Atkins plc ("Atkins") announces that at the Court Meeting and the General Meeting held earlier today in connection with the recommended cash offer made by SNC-Lavalin (GB) Holdings Limited ("SNC-Lavalin Bidco") (a wholly-owned subsidiary of SNC-Lavalin Group Inc. ("SNC‑Lavalin")) to acquire the entire issued and to be issued share capital of Atkins (the "Acquisition") to be effected by means of a scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme"):

(i)   the requisite majority of Scheme Shareholders voted to approve the Scheme at the Court Meeting; and

(ii)  the requisite majority of Atkins Shareholders voted to pass the Special Resolution to implement the Scheme, including the amendment of Atkins' articles of association, at the General Meeting.

Details of the resolutions passed are set out in the notices of the Court Meeting and General Meeting contained in the scheme document published on 18 May 2017 in relation to the Acquisition (the "Scheme Document").

The total number of Atkins Shares in issue at the Voting Record Time was 104,451,799 of which 4,341,000 were treasury shares which do not have voting rights.  Consequently, the total voting rights in Atkins at the Voting Record Time were 100,110,799.

Effective Date and Timetable

The Scheme remains subject to the satisfaction or (where applicable) waiver of the remaining Conditions set out in the Scheme Document, including the Court sanctioning the Scheme at the Court Hearing, which is expected to be held on 29 June 2017.

Subject to the Scheme receiving the sanction of the Court on that date and the Court Order being delivered to the Registrar of Companies, the Scheme is expected to become effective on 3 July 2017.

An application will be made to suspend the dealing of Atkins Shares, which is expected to take place at 6.00 p.m. (London time) on 30 June 2017.  An application will also be made to the UK Listing Authority for the de-listing of Atkins Shares on the premium listing segment of the Official List and to the London Stock Exchange for the cancellation of trading of Atkins Shares on the main market for listed securities. Such cancellations are expected to occur at 8.00 a.m. (London time) on 4 July 2017.

The expected timetable of principal events for the implementation of the Scheme remains as set out on pages 12 and 13 of the Scheme Document.  If any of the dates and/or times in the expected timetable change, the revised dates and/or times will be notified by announcement through a Regulatory Information Service.

A copy of the Special Resolution passed at the General Meeting will be submitted today to the National Storage Mechanism and will be available for inspection at http://www.morningstar.co.uk/uk/NSM.
