Headline: Board Composition Changes

17 September 2019

The Board of Directors of GCP Infra, the only UK listed fund focused primarily on investments in UK infrastructure debt ("the Board"), is pleased to announce the appointment of Dawn Crichard as non-executive Director of the Company with effect from 16 September 2019.

This addition to the Board is being made as part of the Company's medium-term board stability and succession plan, in order to achieve an orderly evolution of the board composition.

Dawn Crichard

Dawn, a Jersey resident, graduated in Economics from Leicester University and is a Fellow of the Institute of Chartered Accountants of England and Wales.

Having trained with Deloitte she moved into the commercial sector and was Chief Financial Officer of a large private construction group for 12 years. Dawn currently holds the senior financial position for a substantial multi-national family office business. Prior to this she was the Chief Financial Officer for Bathroom Brands PLC and Hedge Fund Accountant in the Hedge Fund Division at State Street.

It is intended that David Pirouet, Chair of the Audit and Risk Committee will be succeeded in this role by Dawn during the next financial year at which point David will step down as Chair of the Audit and Risk Committee and, following the transition of his responsibilities, will retire from the Board at the annual general meeting of the Company in February 2021.

In addition, it is the intention that Clive Spears, Senior Independent Director and Chair of the Investment Committee who has served as a Director within the group for over 9 years, will retire at the Company's next annual general meeting in February 2020.

Following the appointment of Dawn to the Audit and Risk Committee, Michael Gray will stand down from this committee and join the Investment Committee where he will assume the Chairmanship when Clive Spears retires from the Board.

Julia Chapman, in addition to her current committee responsibilities, has joined the Nomination Committee and will become the Senior Independent Director upon Clive Spears' retirement.

Ian Reeves CBE, Chairman, commented, "I would like to thank Clive and David for their support over many years and for their cooperation in enabling the implementation of the above succession plan. We are delighted to welcome Dawn to the Board. She will bring core strengths and a wealth of experience which will ensure that the evolving Board maintains the required complementary range of skills, as we continue the implementation of our strategy".
