Results of the Annual General Meeting held on 27 June 2023

 

At the Annual General Meeting ('AGM') of Kingfisher plc (the 'Company') held earlier today, all resolutions were voted upon by poll and were passed by shareholders. Resolutions 1 to 17 were passed as ordinary resolutions; resolutions 18 to 21 were passed as special resolutions. The Board notes that there were 21.54% of votes cast against Resolution 19 (Authority to disapply pre-emption rights for an additional ten percent). The Board understands that some shareholders are not supportive of these authorities as a matter of general policy.

 

The Company will continue to consult and engage with shareholders to better understand the reasons behind these votes and will publish an update of its shareholder engagement within 6 months of today's AGM.

*    Includes discretionary votes

**   A vote withheld is not a vote in law and, therefore cannot be counted in the calculation of the proportion of   

     votes for and against a resolution.

 

The number of ordinary shares in issue on Friday 23 June 2023, was 1,917,945,451.
