Homeserve non-executive Mark Morris will step down with effect from 27 Feb after nine years on the board.
He has served as chairman of the audit and risk committee since his appointment in February 2009 and was appointed as senior independent director in April 2015.
Chairman Barry Gibson said: 'I would like to record our appreciation to Mark for his significant support and contribution to the board, in particular in his role as chairman of the audit & risk committee.
'On behalf of my board colleagues I would like to wish him every success in the future." The company said that Ron McMillan had been appointed as a non-executive director and would succeed Morris as shairman of the audit & risk committee.
Homeserve said he had joined the board with immediate effect and would take on the chairmanship of the audit & risk committee on 28 Feb.
