Further to the recent announcements of 25 August and 1 September 2016 relating to the statutory merger between Sierra Rutile Limited ("SRL") and Iluka Investments (BVI) Limited ("Iluka Newco") under section 170 of the BVI Business Companies Act ("Merger"), the board of SRL wishes to provide the following update on the progress of the transaction to date.
SRL has been informed that the German Antitrust Authority has initiated Phase II Proceedings in respect of the Merger. The German Antitrust Authority has up to three months to conclude these Phase II Proceedings.
In accordance with the provisions of the Merger Implementation Agreement dated 31 July 2016 (the "MIA"), SRL and Iluka now have 5 business days to agree how to proceed in respect of the Phase II Proceedings. As referred to in Part II of the circular sent to shareholders on 9 August 2016 (the "Circular"), either party may terminate the MIA if the parties are unable to reach agreement on how to proceed in respect of the Phase II review by the end of the specified five business day period.
As announced on 1 and 9 August 2016, SRL has made an application to the London Stock Exchange for the cancellation of the admission to trading on AIM of, and cessation of dealings in, SRL Shares ("Cancellation") upon the Merger becoming effective but no earlier than 7.00 a.m. on 9 September 2016. In light of the Phase II Proceedings, Cancellation will not take place on 9 September 2016 and a revised Cancellation timetable will be announced in due course.

Application of the Code

The Panel on Takeovers and Mergers does not, however, have responsibility for ensuring compliance with the Code in respect of the Acquisition and is not able to answer Shareholders' or holders of Depositary Interests' queries in relation to SRL, Iluka, Newco or the Acquisition. However, the SRL Board has, and intends to continue to, take into account guidance issued by the Panel on Takeovers and Mergers in connection with the exercise of its discretion.
In particular, the SRL Board has confirmed to Iluka and Newco that it does not intend to require announcements to be made by Shareholders pursuant to Rule 8 of the Code (disclosure of dealings and positions).
